ACCEPTABLE USE POLICY

This Acceptable Use Policy lays down the terms and conditions regarding the use of Twimo’s online collaboration and data management platform that includes its web-based application, website, services and systems (collectively, the “Services”), and what constitutes acceptable or unacceptable conduct on these Services.
In this Acceptable Use Policy,
We reserve the right to make changes or modifications to this Acceptable Use Policy at any time, without notice and at our sole discretion. Any changes or modifications to this Acceptable Use Policy will be effective immediately upon posting the revisions on our Services. Your continued use of our Services following the posting of changes or modifications to this Acceptable Use Policy will constitute your acceptance of such changes or modifications. If you do not agree to such changes or modifications, do not continue to use the Services.
If we believe a violation of this Acceptable Use Policy is deliberate, repeated or presents a credible risk of harm to other users, our customers, the Services or any third parties, we may suspend or terminate your account on or access to the Services.
In this Acceptable Use Policy,
- “Twimo”, “we” or “us” refers to Twimo Solutions Private Limited;
- the “Customer” refers to an organisation or entity which has contracted with us to use our Services and is bound by the Customer Terms of Use and all other terms incorporated by reference (the “Customer Agreement”);
- “you” or the “User” refers to an individual, bound by the User Terms of Use and all other terms and policies incorporated by reference (the “User Terms”), who is invited and authorised by the Customer to join teams that the Customer has created on the Services for the purpose of collaboration and data management;
- “User Content”, “Customer Data” as defined in the User Terms.
We reserve the right to make changes or modifications to this Acceptable Use Policy at any time, without notice and at our sole discretion. Any changes or modifications to this Acceptable Use Policy will be effective immediately upon posting the revisions on our Services. Your continued use of our Services following the posting of changes or modifications to this Acceptable Use Policy will constitute your acceptance of such changes or modifications. If you do not agree to such changes or modifications, do not continue to use the Services.

USER ACCOUNT AND ACCESS TERMS
- You must be at least 18 years of age to access or use the Services. By registering to use our Services, you represent that you are over 18 years of age.
- You must provide your legal full name, a valid email address that belongs to you and any other mandatory information as required by the Services.
- You may not share your login or account with others. You are responsible for maintaining the security of your account by protecting your password and restricting access to your account. Twimo cannot and will not be liable to you, any User, the Customer or any third party, for any loss or damage from your failure to comply with this security obligation.
- You warrant that you will promptly notify Twimo if you discover or otherwise suspect any security breaches related to the Services.
- You warrant that you will only join teams to which you have been invited and to which you belong. Attempting to join teams to which you do not belong or otherwise gaining or attempting to gain access to information that is not meant for you would be considered a violation of the User Terms.
- You warrant that you will comply with all applicable local, state, national and international laws and governmental regulations, including, but not limited to, all intellectual property, data and privacy laws.
USER CONTENT AND CUSTOMER DATA TERMS
- You agree to be solely responsible for all User Content posted and activity that occurs under your account on the Services and accept all risks of any authorised or unauthorised access.
- You represent and warrant that
- you have the lawful right to post, distribute and reproduce such User Content;
- the User Content is true, complete, current and accurate and you agree to maintain and update the User Content to keep it true, complete, current and accurate;
- the User Content is not confidential and not in violation of any contractual restrictions or other third party rights;
- the use and posting of the User Content you supply does not violate the User Terms and will not violate any rights of or cause injury to any person or entity.
- You acknowledge and agree that
- the Customer owns the rights to any and all User Content submitted by you on the Customer’s team(s);
- such User Content will become part of Customer Data;
- the Customer can exercise the choices and controls over its Customer Data that the Customer Agreement provides;
- such choices and controls that the Customer may exercise may result in the the access, use, disclosure, modification, processing or deletion of some or all Customer Data.
- Any User Content or Customer Data made public will be publicly accessible through the internet and may be crawled and indexed by search engines. You are responsible for ensuring that you do not accidentally or otherwise, make any private User Content or Customer Data publicly available.
- Twimo does not pre-screen User Content or Customer Data, but reserves the right (but not the obligation) at our sole discretion to refuse or remove without notice, any User Content or Customer Data that is available via the Services.
- Twimo is not responsible for another User’s misuse or misappropriation of any User Content you post in your teams or elsewhere on Twimo.
RESPECTING OUR INTELLECTUAL PROPERTY RIGHTS
We own and will continue to own our Services, including all related intellectual property rights.Unless otherwise indicated and with the exception of User Content and Customer Data, our Services, the look and feel of the Services, and all content and materials on the Services, including, without limitation, the name “Twimo”, the Twimo logo, and all code, designs, software, scripts, data, text, graphics, pictures, videos, audio and other files and information, and the selection and arrangement thereof, (collectively, the “Twimo Materials”) are the proprietary property of Twimo and are protected by Indian and international copyright and trademark laws and may not be copied, imitated or used, in whole or in part, without the prior written permission of Twimo.
Any use of the Services or the Twimo Materials by the Customer other than as specifically authorised in the Customer Agreement, or by you or any other User other than as specifically authorised in this Acceptable Use Policy and the User Terms, without the prior written permission of Twimo, is strictly prohibited and is a violation of the Customer Agreement, the User Terms and/or applicable laws, including without limitation, copyright and trademark laws.
All other trademarks, product names or logos mentioned in the Services are the property of their respective owners and any reference to such a trademark, name or logo does not constitute or imply endorsement, sponsorship or recommendation thereof by us.
RESTRICTIONS ON USE
You agree not to use the Services for the creation, transmission or storage of User Content that- is unlawful, libellous, defamatory, harassing, threatening, abusive, harmful, invasive of another’s privacy or publicity rights;
- would otherwise create liability or violate any local, state, national or international law;
- contains nudity, sexually explicit content or is otherwise vulgar, obscene, pornographic, indecent, lewd, suggestive or sexually exploitative of minors;
- may disparage any ethnic, racial, sexual or religious group by stereotypical depiction, offends religious sentiments, promotes racism or sexism, or is otherwise abusive or inflammatory;
- depicts the use of illicit drugs;
- contains offensive language or images or is otherwise objectionable;
- incites violence or characterises violence as acceptable, glamorous or desirable;
- contains private, personal or confidential information about another person or entity, without obtaining consent from such person or entity;
- contains viruses, malicious code, corrupted data or other harmful, disruptive or destructive files, bots, Trojan horses, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
- infringes or may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
- constitutes "junk mail", "spam", "chain letters", “phishing” or unsolicited mass distribution of email.
You agree not to:
- use the Services in violation of any applicable law or regulation, including promoting or encouraging any illegal activity;
- infringe the rights of any third party, including without limitation, intellectual property, privacy, publicity or contractual rights;
- use the Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Services or that could damage, disable, overburden or impair the functioning of the Services in any manner;
- use our Services in connection with the distribution of spam (which we define as unsolicited bulk e-mail or any other unsolicited messages of a commercial, religious, romantic, political or other nature not within the intended purposes of the Services);
- collect or store any information about any other user other than as permitted on our Services;
- circumvent, hack or attempt to defeat any security or verification measure relating to use of the Services;
- use data mining, robots or similar data gathering or extraction methods on the Services or Twimo Materials;
- download (other than page caching) any portion of the Services, the Twimo Materials or any information contained therein, except as expressly permitted on the Services;
- modify another website so as to falsely imply that it is associated with our Services or with Twimo;
- reproduce, duplicate, copy, sell, resell, transfer or exploit any portion of the Services or Twimo Materials, use of the Services or Twimo Materials, or access to the Services or Twimo Materials without the express written permission from us;
- modify or otherwise make any derivative uses of the Services or Twimo Materials;
- use any metatags or any other “hidden text” utilising “Twimo” or any other name, trademark or product or service name of Twimo without our prior written permission;
- provide any service based on the Services without prior written permission from us;
- stalk, intimidate, threaten, harass, cause discomfort to or indulge in verbal, physical, written or other abuse (including threats of abuse or retribution) against any other user or customer of our Services, Twimo employees or officers;
- impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity, whether by providing or omitting to provide information;
- hold yourself out as an agent, representative, employee or affiliate of Twimo;
- use the Services or Twimo Materials for any purpose other than their intended purposes;
- assist any third party in doing any of the foregoing.
